Issuers, arrangers and advisers filing prospectus approval applications (KRT-1250) with Finanstilsynet can now complete and submit the form with either the Dokumentbasert Tilsyn access package or the Privatperson entity role.Altinn Previously only the access package qualified.
Altinn The widening matters for individuals who act for an issuer but hold no enterprise-linked access package: where delegation to them was previously required, the Privatperson role now suffices for filling in and submitting
Altinn.
The form serves applications for approval of EEA prospectuses covering public offers of transferable securities directed at the Norwegian market and admissions of transferable securities to trading on a Norwegian regulated market. It may be completed by the issuer, an arranger, an adviser or a similar party acting on behalf of the issuer. Both Norwegian and foreign undertakings may use it, provided the issuer holds a legal entity identifier (LEI).
Access is checked on the Altinn access-management page. A person who lacks the required access must have someone with the right to delegate grant it. A filer who has neither a Norwegian national identity number nor a D-number can log in with a custom ID (level 0), which also applies to foreign undertakings without a Norwegian organisation number. Level-0 login requires first creating a custom user through KRT-3080 by choosing Logg inn, then International, then Email login and Lag ny bruker. Foreign issuers without a Norwegian organisation number that have Norway as their home state must set up Altinn for reporting purposes.
Norwegian undertakings must hold both an LEI and an organisation number; foreign undertakings need only an LEI. Payment details and the prospectus fee total appear in the form, and payment uses the generated KID number. The fee must be paid before Finanstilsynet's deadline for its first feedback; if the fee has not been paid within the time, the process is aborted. The application form contains timetable logic on which Finanstilsynet reserves that errors may occur, with contact via prospekter@finanstilsynet.no in that case.
The application must be accompanied by a complete draft prospectus with any appendices, completed checklists and the financial information to be appended to the prospectus. Questions about completion go to prospekter@finanstilsynet.no. The prospectus rules follow from verdipapirhandelloven, with Finanstilsynet as prospectus authority and a statutory fee for prospectus control under verdipapirhandelloven §§ 7-1, 7-12 and 7-14.
Check that the person filing KRT-1250 holds either the Dokumentbasert Tilsyn access package or the Privatperson entity role, and arrange delegation through the Altinn access-management page where neither is held.
