The Competition and Markets Authority has formally opened its phase 1 merger inquiry into the completed acquisitionGOV by ABP Food Group Unlimited of an indirect minority shareholding in Extra Detail Limited
GOV
GOV, with the launch announced by notice to the parties on 29 October 2026.
The inquiry will examine whether the transaction has resulted in the creation of a relevant merger situation under the merger provisions of the Enterprise Act 2002 and, if so, whether that situation has resulted, or may be expected to result, in a substantial lessening of competition within any market or markets in the United Kingdom for goods or services. That is the statutory duty to refer completed mergers in section 22 of the Act. The duty admits two discretions: the Authority may decide against a reference where the market concerned is not of sufficient importance to justify one, or where relevant customer benefits from the merger outweigh the lessening of competition and its adverse effects. No reference may be made once the statutory decision period has expired without a decision.
The Authority served an initial enforcement order under section 72(2) of the Act on 17 September 2026, and granted a derogation on 28 September 2026.
Third parties with views on the competition issues have until 12 November 2026 to comment. Written representations about any competition issues should go to abp.dovecotepark@cma.gov.uk by that deadlineGOV; the published contact for the case is Principal Case Officer Daniel Norcott. Before 29 October no launch, comment or decision date had been set; the launch fixes all three, with the phase 1 decision deadline falling on 27 December 2026. The timetable notes the statutory decision deadline can be extended in certain limited circumstances.
The inquiry proceeds under Part 3 of the Enterprise Act 2002, with the initial enforcement order made under section 72(2).
Anyone advising parties, competitors, customers or suppliers affected by the ABP acquisition of a minority shareholding in Extra Detail Limited should send written representations on the competition issues to abp.dovecotepark@cma.gov.uk by 12 November 2026.
