Uncorrected UBO mismatches risk compulsory dissolution
Obliged firms and authorities must report UBO register mismatches fast with proof; investigators can flag the report during the probe and non-correcting companies risk dissolution.

Banks, mortgage-credit institutions, insurers, investment firms, lawyers, auditors, estate agents and other businesses that must apply customer due diligence under hvidvaskloven must establish who their customer's reelle ejere are and report any mismatch with the registerErhvervsstyrelsen. Competent authorities carry the same duty when they find a mismatch in the course of their functions, unless reporting would unduly interfere with that function
Erhvervsstyrelsen. Reports cover only companies, funds, certain associations, foreign trusts and similar arrangements that must register UBO data in Erhvervsstyrelsen IT-system, published in Det Centrale Virksomhedsregister (CVR).
A mismatch is any difference between the registered details on reelle ejere and their rights and the information available through the obliged business own checks. It covers altered ejerandele, stemmerettigheder or control missing from the register, a missing person who should be listed, and a person wrongly still listed. A pure misspelling is not reportable; an unrecorded change in a stake is. The register cannot normally stand alone: the obliged business must make its own examination at onboarding and in ongoing monitoring, and must attach the evidence behind the findingErhvervsstyrelsen, from ejerbøger and ownership diagrams to foreign-register extracts.
Filing must reach Erhvervsstyrelsen hurtigst muligt after discoveryErhvervsstyrelsen; waiting days without an anerkendelsesværdig grund fails that test
Erhvervsstyrelsen. Where the gap looks like forgetfulness, the obliged business may warn the customer so the entry can be corrected hurtigst muligt.
Erhvervsstyrelsen Immediate correction ends the duty to report.
Erhvervsstyrelsen If the customer does not correct, for example because it defends the registered entry, the obliged business must file uden ugrundet ophold.
Erhvervsstyrelsen Responsibility for correct, current UBO data always remains with the customer.
Filing is digital through Virk on the form Indberetning om uoverensstemmelser af ejerforhold, using MitID or MitID Erhverv. It states contact details, the reporter role, the CVR-nummer concerned, a short precise description and the documentation. A receipt by e-mail is optional. Documentation follows ownership complexity: an ejerbog may suffice for one or two owners, while layered chains need the full chain. Without enough proof the investigating authority may be unable to establish a mismatch.
A report is confidential and exempt from aktindsigt under lov om offentlighed i forvaltningen and forvaltningsloven; neither the report nor the reporter identity goes to the business concerned or to access requesters. Reports outside Erhvervsstyrelsen remit pass to the competent authority, such as Finanstilsynet or Fondsmyndigheden. A discrepancy filing is not suspicion of hvidvask, terrorfinansiering or tax evasion and does not trigger examination and notification under hvidvasklovens §§ 25 og 26; genuine suspicion needs a separate notification to National enhed for Særlig Økonomisk Kriminalitet (Hvidvasksekretariatet).
Erhvervsstyrelsen receives every filing and follows up, generally to help reporters avoid needless reports and with rolling information on filing trends. After filing the reporter may continue client work but may be asked for elaboration. If a filing rests on an interpretation of the UBO rules Erhvervsstyrelsen rejects, it contacts the reporter and sets a frist for clarification. The investigator may also approach the business management directly and may publish a meddelelse about the report in the IT-system during the inquiryErhvervsstyrelsen, after giving the business a chance to object unless that would defeat the purpose
Erhvervsstyrelsen. That power no longer requires suspected deliberate concealment of ownership. An inquiry ends with no remarks or with a required correction
Erhvervsstyrelsen; a business that ignores a required correction risks tvangsopløsning or sletning
Erhvervsstyrelsen. Where a notice appeared on CVR.dk, a closing notice with the outcome follows as soon as possible. Legal basis is hvidvasklovens § 15 a, bekendtgørelse nr. 1376 af 12. december 2019 om indberetning af uoverensstemmelser i oplysninger om reelle ejere and selskabslovens § 58 c, stk. 2 og 3.
Compare the customer's UBO data with the CVR entry at onboarding and in ongoing monitoring, have the customer correct any mismatch immediately, and file via Virk with documentation if it is not corrected hurtigst muligt.
