The Competition and Markets Authority has moved the Brink's Company / NCR Atleos Corporation merger inquiry to the undertakings stageGOV: on 8 October 2026 it announced it will consider the undertakings offered by Brink's, or a modified version of them, to address its competition concerns over the cash-machine deal
GOV.
The CMA states that it considers there are reasonable grounds for believing the undertakings offered, or a modified version, might be accepted under the Enterprise Act 2002GOV. The full text of the decision is to be published shortly, and the case page links a press release dated 8 October 2026 on the proposals.
This follows the phase 1 decision announced on 30 September 2026GOV, in which the CMA decided, on the evidence then available, that it is or may be the case that the merger has resulted or may be expected to result in a substantial lessening of competition within a market or markets in the United Kingdom
GOV. That decision meant the merger would be referred for an in-depth phase 2 investigation unless the parties offered an acceptable undertaking to address the concerns
GOV — which is the path now being tested.
The statutory timetable records the sequence: invitation to comment from 20 May to 4 June 2026, launch of the inquiry on 26 August 2026, a phase 1 decision deadline of 22 October 2026, the phase 1 decision announced on 30 September 2026, and now the 8 October 2026 step of considering undertakings offered.
For advisers and market participants, the posture matters: the CMA has not cleared the dealGOV and has not accepted any undertaking
GOV — it holds only that the offered undertakings, possibly modified, might be accepted. Written representations on competition issues go to the published case-team address.
